Terms of Service
Effective Date: October 25, 2026
Last Updated: October 25, 2026
How These Terms Are Organized
These Terms of Service (“Terms”) govern access to and use of asktheconsultants.com (the “Site”) and the professional network operated by Ask The Consultants LLC, a Kentucky limited liability company (“ASK,” “we,” “us,” or “our”).
Part I contains general website terms. Part II applies to people and businesses that use the Site to identify or contact an admitted provider. Part III applies to companies that submit a provider intake. Part IV applies to companies admitted to the network. Part V applies to everyone. Parts III and IV are commercial terms and must be accepted affirmatively through the electronic acceptance process presented at the relevant stage.
These Terms are governed by the laws of the Commonwealth of Kentucky (Section 56). Nothing in these Terms limits any right or remedy that applicable law does not permit a party to waive.
Part I. General Website Terms
1. Eligibility and Scope
The Site is intended for users who are at least eighteen years old and who do business with or for companies registered in the United States. A company’s owner or team may live outside the United States. The network is designed primarily for businesses, startups, entrepreneurs, and organizations seeking professional services, but individuals may also browse and use the Site.
Eligibility: Membership is open only to companies registered in a U.S. state that serve U.S. clients. The owner may live anywhere. We may ask for proof of registration at any time.
ASK does not screen every visitor before the visitor accesses public pages. If a law gives an individual a nonwaivable consumer right, these Terms do not eliminate that right.
2. What ASK Is
ASK operates a privately managed professional network. Companies seek admission, are evaluated under ASK’s standards, and, if admitted, may receive one of a limited number of positions in a category and state (each, a “Position”) and a public listing while they remain in good standing.
ASK’s evaluation concerns compatibility with ASK’s admission and standing standards. Admission is a status within a private network. It is not a governmental license, professional certification, accreditation, warranty, guarantee, endorsement, fiduciary recommendation, or promise of future performance.
3. What ASK Is Not
ASK is not a marketplace, broker, employment agency, professional firm, lead broker, joint venturer, agent of a provider, agent of a client, or party to an engagement between a user and an admitted provider. ASK does not intend provider membership to create a franchise relationship or business-format franchise; legal characterization nevertheless depends on applicable law and the actual relationship rather than labels.
ASK does not set provider prices, negotiate engagement terms, control service delivery, supervise provider personnel, collect a percentage of provider revenue, or receive a transaction fee, referral fee, commission, success fee, or percentage of any engagement.
ASK does not route, match, assign, steer, or direct a client to a particular provider. Users select providers for themselves and contact providers directly. An admitted provider may independently and voluntarily introduce a client to another provider, but ASK does not require, direct, count, reward, or compensate such introductions and does not require exclusivity or reciprocity.
4. No Professional Advice
Site content is general information about ASK, its network, and its processes. It is not legal, tax, accounting, financial, investment, medical, insurance, employment, cybersecurity, or other professional advice. Accessing the Site does not create a professional, advisory, fiduciary, attorney-client, accountant-client, or similar relationship with ASK.
5. Provider Independence
Every admitted provider is an independent business. Providers are solely responsible for their employees, contractors, acts, omissions, representations, professional obligations, licenses, registrations, insurance, taxes, conflicts, pricing, service quality, data handling, and client relationships.
No provider has authority to bind ASK or its licensors, incur obligations on their behalf, make warranties on their behalf, or represent that ASK supervises or stands behind the provider’s work.
6. Intellectual Property
The Site and its contents, including the Ask The Consultants™ name and marks, Precision Logic Architecture™, the Strategic Compatibility Assessment, evaluation questions, scoring methodology, models, design, graphics, software, text, and confidential methods, are owned by ASK or its licensors, except for content owned by third parties.
No Site access grants a license to copy, republish, scrape, reproduce, sell, reverse engineer, decompile, disclose, train a model on, create derivative works from, or commercially exploit protected content except to the limited extent expressly authorized in writing.
7. Acceptable Use
Use of the Site and network is subject to ASK’s Acceptable Use Policy. For public visitors, compliance with that policy is a condition of ASK’s permission to access and use the Site. For applicants and admitted providers, the Acceptable Use Policy is incorporated into these Terms when the applicable Terms are affirmatively accepted. If the Acceptable Use Policy conflicts with these Terms, these Terms control to the extent of the conflict.
Without limiting that policy, you may not use the Site to violate law; impersonate another person or business; submit materially false information; probe or disrupt security; introduce malicious code; scrape, harvest, or systematically extract data; circumvent access controls; interfere with another user; misuse provider contact information; reverse engineer protected systems; attempt to obtain confidential evaluation logic; coordinate competitively sensitive matters with a competitor; create an unlawful referral or fee-sharing arrangement; or evade a suspension, removal, Position limitation, or other ASK control.
ASK may block, suspend, restrict, or terminate Site access where ASK reasonably believes access is abusive, unlawful, threatening, deceptive, technically harmful, anticompetitive, or inconsistent with these Terms or the Acceptable Use Policy, subject to applicable law.
8. Third-Party Sites and Services
The Site may link to provider websites and other third-party services. ASK does not control those sites and is not responsible for their content, security, accessibility, privacy practices, availability, or transactions. A link does not itself constitute endorsement.
ASK also relies on third-party technology and service providers for functions such as hosting, communications, forms, payment processing, analytics, security, artificial-intelligence processing, storage, and other operational services. Third-party systems may experience outages, delays, errors, security events, data loss, API changes, service changes, or other failures outside ASK’s reasonable control. To the maximum extent permitted by law, ASK does not warrant uninterrupted or error-free operation of third-party systems and is not liable for loss or delay caused solely by a third party’s systems or acts where ASK has satisfied duties that applicable law does not permit ASK to disclaim. Nothing in this paragraph relieves ASK of a nonwaivable duty concerning its own selection, configuration, use, or supervision of a service provider where applicable law imposes such a duty.
9. Privacy, Cookies, and Tracking
Our Privacy Policy and Cookie Policy describe how ASK handles personal information and online technologies. ASK operates analytics and similar technologies subject to applicable notice, consent, opt-out, and preference-signal requirements.
10. Electronic Communications and Electronic Acceptance
By submitting contact information to ASK, you consent to receive communications reasonably related to the transaction, intake, membership, security, legal notice, or request you initiated. Marketing communications are subject to applicable law and opt-out rights.
Checking a box, clicking an acceptance button, or completing another electronic acceptance step presented by ASK is your electronic signature and has the same effect as a handwritten signature under the Kentucky Uniform Electronic Transactions Act, KRS 369.101 to 369.120, and the federal Electronic Signatures in Global and National Commerce Act.
11. Site Availability and Changes
ASK may add, remove, modify, suspend, or discontinue Site features, categories, states, listings, content, or functionality. Public descriptions of planned features, future states, opening dates, categories, capacity, or future services express present intentions only and are not commitments unless expressly stated in a signed or affirmatively accepted agreement.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, NETWORK, DIRECTORY, CONTENT, EVALUATION INFORMATION, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ASK DISCLAIMS WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND ERROR-FREE OPERATION.
ASK DOES NOT WARRANT OR GUARANTEE THE QUALITY, COMPETENCE, HONESTY, LICENSING, INSURANCE, SOLVENCY, SECURITY, AVAILABILITY, CONDUCT, PERFORMANCE, OR RESULTS OF ANY PROVIDER. INFORMATION MAY BE INCOMPLETE, OUTDATED, MISREPRESENTED, OR MAY CHANGE AFTER REVIEW. NO EVALUATION PROCESS ELIMINATES RISK.
ASK’s intake review, SCA, verification, compliance checks, complaint review, and other network-quality activities are conducted for ASK’s internal admission and network-management purposes. They are point-in-time and risk-management processes. Unless applicable law requires otherwise or ASK expressly agrees in writing, ASK does not undertake a duty to continuously monitor, investigate, supervise, re-screen, re-verify, or discover every change concerning every provider, owner, employee, contractor, license, registration, insurance policy, financial condition, public record, complaint, or other circumstance.
ASK’s decision to investigate, verify, monitor, request information, or take action in one instance does not create a continuing duty to do so in another instance, does not create a fiduciary or special relationship with a visitor, client, applicant, or provider, and does not waive ASK’s disclaimers or limitations of liability. Screening, verification, continued membership, a compliance check, or a decision not to act is not a representation that no undiscovered or later-arising issue exists.
13. Limitation of Liability for General Site Use
To the maximum extent permitted by law, ASK, its licensors, and their respective members, managers, officers, employees, agents, and contractors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages; lost profits, revenue, opportunity, goodwill, data, or reputation; or losses arising from an engagement between a user and a provider.
For a claim arising solely from free use of the public Site, and only to the extent a monetary limitation is enforceable, aggregate liability will not exceed one hundred dollars. This limitation does not apply to liability that applicable law prohibits ASK from limiting or excluding.
More specific liability provisions in Section 53 govern applicants and admitted providers who affirmatively accept Part III or Part IV.
14. No Third-Party Beneficiaries
Except where these Terms expressly state otherwise, no person or entity that is not a party to an applicable accepted agreement has rights as a third-party beneficiary. ASK’s licensors may enforce the provisions of these Terms that protect them.
15. Copyright and Trademark Complaints
A person who believes Site content infringes intellectual property rights may send a sufficiently detailed notice to support@asktheconsultants.com. ASK may remove or restrict disputed content while it evaluates a complaint without admitting liability.
Because providers may supply listing content, ASK will maintain an intellectual-property complaint and repeat-infringer process appropriate to the content it hosts. If ASK relies on a safe harbor under 17 U.S.C. § 512 for qualifying third-party content, ASK will designate and register a DMCA agent with the U.S. Copyright Office, publish the agent’s current contact information, reasonably implement a repeat-infringer policy, and follow the applicable notice-and-takedown requirements. A generic email address alone is not represented as satisfying every condition of a statutory safe harbor.
Part II. Terms for Users Seeking Providers
16. Your Selection Decision
You may browse admitted providers and contact them directly. ASK does not select a provider for you. You remain responsible for deciding whether a provider is suitable for your needs.
Before entering an engagement, you should independently evaluate matters relevant to your circumstances, which may include licensing, professional registration, insurance, references, scope, price, conflicts, data security, confidentiality, professional discipline, and contract terms.
A user’s decision to contact, select, retain, contract with, rely upon, pay, or otherwise engage an admitted provider is the user’s independent decision. To the maximum extent permitted by law, claims arising from a provider’s professional services, representations, omissions, pricing, contracts, personnel, data practices, performance, failure to perform, or other conduct must be pursued against the provider or other legally responsible party and do not become claims against ASK merely because the provider was evaluated, admitted, listed, reviewed, monitored, or previously in good standing with ASK.
Where practicable, ASK will display a transition notice when a user follows a provider-contact or external-provider link to reinforce that the user is choosing an independent provider, ASK is not a party to any resulting engagement, and the user should independently verify qualifications and terms important to the engagement.
17. Direct Provider Relationship
Any engagement is solely between you and the provider. ASK is not a party to that contract and does not control performance. Payment, scope, deliverables, deadlines, warranties, confidentiality, intellectual property, insurance, dispute procedures, and remedies must be addressed directly with the provider.
When a user leaves the Site or communicates directly with a provider through the provider’s website, telephone number, email address, form, scheduling system, payment system, file-sharing system, or other provider-controlled channel, information supplied through that channel is provided to the provider and is subject to the provider’s own privacy, security, retention, professional, and legal obligations. ASK does not control and is not responsible for the provider’s subsequent collection, storage, use, disclosure, security, retention, or deletion of that information merely because the provider was located through ASK, except to the extent applicable law imposes a nonwaivable duty on ASK for ASK’s own conduct.
18. Complaints and Information About Providers
ASK may accept information concerning provider conduct for network quality control. Submission of a complaint does not make ASK an arbitrator, mediator, regulator, fiduciary, investigator for the complainant, claims administrator, insurer, or party to the underlying dispute.
ASK may decide whether and how to review information, may request additional information, may preserve confidentiality where appropriate, and may take or decline action in its lawful business discretion. ASK does not promise to investigate every complaint, disclose internal findings, intervene in an engagement, recover money, compensate a complainant, or reach a particular result.
A decision to review, investigate, or act on one complaint does not create a duty to monitor a provider continuously, investigate every future allegation, discover misconduct that has not been reported or is not reasonably apparent, or take the same action in another matter. Any membership action taken by ASK concerns ASK’s own network relationship and is not an adjudication of civil or professional liability between a provider and another person.
19. User-Supplied Information
If you submit information to ASK, you represent that you have authority to provide it and that it is not knowingly false, unlawful, defamatory, infringing, or submitted for harassment. Do not send privileged, confidential, health, financial-account, government-identification, or other sensitive information unless ASK specifically requests it through an appropriate secure process.
Part III. Terms for Applicants
20. Separate Acceptance
Part III becomes binding when the applicant affirmatively accepts it through ASK’s intake process. ASK will retain an electronic record of the accepted version, date, time, accepting user or entity where reasonably available, and acceptance event. No fee is charged to submit an intake or complete the SCA. If ASK later issues a conditional offer and the applicant elects to proceed, the $350 Background Verification and Credentialing Fee is charged at that stage; before payment ASK will conspicuously disclose that the fee is nonrefundable once paid except where law requires otherwise and that payment does not purchase admission.
The person submitting the intake represents that the person is the owner, founder, principal decision-maker, or another person ASK has expressly authorized to complete the intake and has authority to bind the applicant company.
21. Intake Accuracy
The applicant represents that submitted information is true, accurate, complete in all material respects, and not misleading by omission. The applicant must promptly correct material inaccuracies discovered before a final admission decision.
The applicant must not submit another person’s Social Security number, health information, biometric information, genetic information, bank credentials, payment card information, or unrelated sensitive personal information in free-text fields.
22. Strategic Compatibility Assessment and Review
There is no charge to submit an intake or complete the Strategic Compatibility Assessment (“SCA”).
ASK uses automated assessment technology, including artificial-intelligence and natural-language-processing tools, to evaluate completed SCA responses against ASK’s structured scoring framework and established admission criteria. Applicants who do not meet the required SCA threshold do not advance to the next stage. For applicants who meet the threshold, ASK’s reviewers examine results the system flags for human attention and may review any other result before ASK decides whether to extend a conditional offer. Automated assessment technology may determine whether an applicant advances from the SCA stage, but it does not independently grant membership.
A non-advancement decision at the SCA stage is final for that intake. Unless applicable law requires otherwise, it does not create a right to manual re-grading, substantive appeal, a new human review of the SCA result, or disclosure of proprietary scoring logic, weightings, thresholds, prompts, model instructions, questions, internal deliberations, or evaluation methodology. An applicant may report a factual inaccuracy concerning personal information used in the process; correction of factual information does not itself create a right to admission or substantive reconsideration of ASK’s admission judgment.
The SCA evaluates business-behavior and professional-readiness characteristics relevant to ASK’s private-network standards, such as judgment, accountability, resilience in business situations, leadership consistency, ethical reasoning, communication, and responses to business scenarios. The SCA is not a medical, psychiatric, psychological-health, disability, or clinical assessment. ASK does not intentionally diagnose, screen for, or infer a mental-health or medical condition, and applicants must not submit health or medical information in SCA responses. ASK will not intentionally use protected or sensitive traits as scoring criteria where prohibited by law.
SCA participation is also subject to the Acceptable Use Policy. Unless ASK expressly authorizes an accommodation or other exception in writing, an applicant may not use a proxy, answer bank, generative-AI answer generator, automated response tool, or third-party service to supply substantive answers that the applicant is required to provide personally, and may not record, scrape, publish, trade, reverse engineer, or use SCA content or nonpublic evaluation logic to train or benchmark an AI system. Ordinary accessibility technology that assists the applicant without substituting another person’s substantive judgment is not prohibited.
Automated and human evaluation methods can make mistakes and can be affected by incomplete, inaccurate, misleading, ambiguous, or changed information. The SCA is an admission tool for ASK’s private network, not a representation that an applicant or provider is objectively suitable or unsuitable for every purpose.
ASK may preserve a limited decision record, model or criteria version, decision stage, human-review record where a human review occurs, and non-sensitive reason category to support consistency, legal compliance, fraud prevention, and defense of claims, subject to the Privacy Policy and applicable law.
23. Advancement to Verification
Passing the SCA does not constitute admission, reserve a Position, promise a conditional offer, create a vested right, or require ASK to proceed with the applicant.
After review, ASK may issue a conditional offer permitting the applicant to proceed to background verification and credentialing. A conditional offer is not final admission or membership. ASK may confirm current Position availability and readiness to begin verification before requesting payment of the Background Verification and Credentialing Fee.
24. Background Verification and Credentialing Fee
No fee is charged to submit an intake, complete the SCA, or receive the review that precedes a conditional offer.
If ASK issues a conditional offer and the applicant accepts it, the applicant must complete the information packet ASK sends within fourteen calendar days after delivery and must pay a one-time $350 Background Verification and Credentialing Fee before ASK initiates the verification stage. Payment creates only a provisional hold on the offered Position while verification is completed.
The fee compensates ASK for holding the offered Position and for verification and credentialing work performed by ASK’s own personnel, which may include review of the applicant business’s registrations and good standing, licenses, insurance, court and regulatory records, sanctions lists, and public business information, along with administrative processing and onboarding setup. Agreement 2 (the Conditional Offer, Business Verification and Credentialing Agreement) governs this stage in detail. It does not purchase admission, a Position, a favorable result, a listing, leads, advertising, membership, or a guarantee that verification will be completed with a favorable outcome.
The $350 fee is nonrefundable once paid, except as Agreement 2 states and to the extent applicable law requires otherwise. In particular, if ASK does not open the network to the public by June 1, 2027, ASK will refund the fee to each applicant who paid it before that date, and no dues will be owed. ASK also refunds the fee if it cancels the conditional offer before verification through no fault of the applicant, cannot deliver the information packet, or charged the fee in error. The fee remains earned if verification identifies information that causes ASK not to extend final membership, if the applicant withdraws, or if the applicant fails to complete requested verification steps, because ASK holds the Position and begins the verification process upon acceptance and payment.
ASK will not charge membership dues unless ASK completes verification to its satisfaction and extends a final membership offer.
25. Authorization to Verify
The applicant authorizes ASK to verify information supplied in the intake and during review. ASK may consult public government, court, licensing, regulatory, business registration, professional discipline, sanctions, public internet, publicly available review, and other lawful sources and may contact references supplied by the applicant. The applicant represents that it has obtained permission from every reference whose personal contact information it supplies.
ASK may rely on information supplied by the applicant and information obtained from government databases, courts, regulators, licensing authorities, business registries, public internet sources, references, and other lawful sources. ASK does not warrant that any source is complete, current, error-free, or capable of identifying every relevant event. Verification is a risk-management process and does not constitute a guarantee concerning the applicant’s history, future conduct, financial condition, regulatory status, reputation, or suitability for any particular engagement.
Verification covers the business only. ASK does not run personal background checks, personal credit reports, or consumer reports on any owner, principal, employee, or representative, and does not ask for Social Security numbers or personal tax returns. ASK will not introduce consumer-reporting-agency screening or another service that supplies a regulated consumer report without first evaluating applicable Fair Credit Reporting Act and state-law requirements and revising its disclosures, authorizations, adverse-action procedures, and other controls where necessary.
Conducting verification or receiving information from a third party does not make ASK the guarantor of the information, create a duty to continuously re-screen the applicant or provider, or waive any otherwise applicable disclaimer or limitation of liability.
26. Admission Decision
Admission is selective and is not an entitlement. ASK may decline to advance or admit an applicant in its lawful business discretion based on its standards, available capacity, verification results, risk, network composition, category needs, reputation considerations, completeness or credibility of information, and other lawful factors ASK reasonably considers relevant. Admission decisions are made independent of payment and cannot be bought or influenced by money.
ASK will not make admission decisions on a basis prohibited by applicable anti-discrimination law. ASK is not required to disclose proprietary criteria, model logic, weightings, thresholds, questions, prompts, internal deliberations, trade secrets, security-sensitive information, or confidential third-party information except where applicable law requires disclosure.
A decision not to advance or admit is final for that intake. An applicant that is not admitted may submit a new intake after twelve months, provided an eligible Position is available in the relevant category and state at that time. A new intake does not guarantee admission, preserve a Position, preserve pricing, or create priority over another applicant. Rights to correct personal information under applicable privacy law remain unaffected. This twelve-month rule does not apply to a former member, which is governed by Section 38.
27. Position Availability
ASK presently limits each category to six admitted providers per state. Capacity is an internal network limitation. It is not a protected territory, franchise territory, exclusive license to operate, promise of market share, guarantee of lead volume, or restriction on a provider’s ability to market or compete outside ASK.
One Position per company group. A company and every entity under common ownership or control with it (including 50% or more common ownership or voting control, or the practical power to direct management) may collectively hold only one Position, in one category, in one state. Applicants must disclose all affiliated companies. An admitted provider may not use its membership to promote itself as admitted for services outside its approved category, and must be able to serve clients throughout its entire represented state.
28. No Earnings or Lead Representation
ASK does not promise or project any number of clients, leads, referrals, engagements, revenue, profit, return on investment, market share, business opportunity, advertising impressions, inquiries, or other commercial result from an intake or membership. The applicant is responsible for deciding whether membership is economically appropriate for its own business.
Illustrations, examples, traffic information, planned marketing activity, estimates, projections, statements concerning anticipated network growth, or descriptions of possible future opportunities are not guarantees of future performance. An applicant should not rely on an oral or informal statement concerning future commercial results unless the statement is expressly incorporated into a written agreement signed or affirmatively accepted by ASK through an authorized process.
29. Applicant Confidentiality
SCA questions, scoring methods, assessment outputs, nonpublic evaluation methods, and nonpublic ASK operational information are confidential and proprietary. The applicant may not reproduce, distribute, publish, sell, reverse engineer, disclose, or use them to help another applicant circumvent or manipulate the evaluation.
30. Applicant Indemnification
To the maximum extent permitted by law, an applicant will indemnify, defend, and hold harmless ASK, its licensors, and their respective members, managers, officers, employees, agents, and contractors from third-party claims, losses, liabilities, judgments, penalties, fines, damages, reasonable attorneys’ fees, and reasonable defense costs arising from or relating to: materially false or unauthorized information submitted by the applicant; the applicant’s lack of authority to supply third-party information; infringement or unlawful content submitted by the applicant; unlawful misuse of the intake or SCA process; or the applicant’s material breach of Part III or the Acceptable Use Policy.
This obligation does not require the applicant to indemnify ASK for liability that applicable law does not permit ASK to shift. ASK will provide reasonable notice of a covered claim where practicable. The applicant may not settle a covered claim in a manner that admits wrongdoing by, imposes an obligation on, restricts, or requires payment by ASK or its licensors without prior written consent.
Part IV. Terms for Admitted Providers
31. Separate Acceptance and Commencement
Part IV becomes binding only after ASK extends a membership offer and the provider affirmatively accepts it through ASK’s electronic acceptance process. The Provider Onboarding and Membership Agreement (“Agreement 3”) governs membership in full; Part IV summarizes it, and if they conflict, Agreement 3 controls.
Before acceptance, the electronic offer screen will conspicuously disclose whether the offer is a Founding Term or a Standard Term, the two-year term, the annual rate for each year, the total dues committed for the term, the date the first installment is due, nonrefundability rules, that there is no automatic renewal, the permanent-ineligibility rule in Section 38, mandatory weekly participation under Section 43, other material membership obligations, the arbitration provision, and the class and representative-action waiver, and will require an affirmative acceptance action that is not preselected. ASK will retain the accepted version, date and time, accepting person or entity where reasonably available, and acceptance event.
Membership does not activate until ASK has completed the required verification, the provider has accepted the offer and applicable Terms, the first annual installment has been paid when due, and onboarding requirements have been completed.
32. Membership Terms, Billing, and When Dues Begin
ASK offers two kinds of membership term: the Founding Term (Section 33), which is a limited, phase-out offer, and the Standard Term (Section 34), which is ASK’s continuing membership model. Every membership term, Founding or Standard, lasts two years (each, a “Membership Term”).
Commitment versus billing. Dues for each Membership Term are billed annually, one installment for each year of the term. Annual billing does not shorten the commitment. By accepting a Membership Term, the provider commits to both annual installments for the full two years, except as stated in Section 39 or where applicable law requires otherwise.
When the first dues are due. For a provider admitted before June 1, 2027, the first annual installment is due on June 1, 2027. For a provider admitted on or after June 1, 2027, the first annual installment is due within fourteen days after ASK notifies the provider that its background verification has cleared and the provider accepts the membership offer. Each Membership Term begins on the date its first installment is due, and the second installment is due one year later.
Unpaid first installment. If the first installment is not paid when due, the membership offer lapses, the provisional hold on the Position is released, and the Background Verification and Credentialing Fee remains nonrefundable, except as stated in Section 24, and the permanent-ineligibility rule in Section 38 applies. The first installment has a ten-day grace period under Section 36.
A Membership Term does not create a vested right to renewal, continued membership after the end of the term, a future Position, future pricing, or continued availability of a particular category or state. Renewal is governed by Section 36.
33. Founding Term
Who qualifies. The Founding Term is available only to a company that is admitted to a Position during the founding window, and only if it is the first company ever admitted to that Position.
Founding window. The founding window closes on March 31, 2027, or, for a particular category and state, earlier when all six Positions in that category and state have been filled for the first time, whichever comes first. ASK may extend the founding window, for all categories and states or for some, by posting notice on the Site before it closes. An extension does not reopen founding rates for Positions already filled.
Founding rate. The founding rate is $1,000 per year for each year of the provider’s one Founding Term (two years, $2,000 in total), billed as stated in Section 32.
Phase-out. The Founding Term is offered once. When a Founding Term ends, any approved renewal is a Standard Term at the Standard rate then in effect. No company may hold more than one Founding Term.
Not transferable. The founding rate belongs only to the original company that first occupied the Position. It is not transferable, assignable, inheritable, or attached to the Position. If that company leaves, is removed, forfeits the Position, transfers ownership without ASK approval, or otherwise ceases to hold the Position, the founding rate for that Position is permanently exhausted.
34. Standard Term
Who it applies to. The Standard Term applies to every company admitted after the founding window closes, to every company admitted to a Position that has already been filled once, and to every renewal, including the renewal of a Founding Term.
Standard rate. The current Standard rate is $2,500 per year for each year of a two-year Standard Term ($5,000 in total), billed as stated in Section 32. ASK may change the Standard rate for future Standard Terms by giving the notice required by these Terms and applicable law. A rate change does not alter dues already fixed for a current Membership Term.
Taxes. Fees are exclusive of sales, use, gross receipts, excise, or similar taxes that applicable law requires ASK to collect or the provider to pay.
35. Network Marketing and Promotion
Membership dues support participation in the ASK network and may also support pooled network-level marketing, advertising, public relations, content distribution, brand development, search, social, broadcast, digital, or other promotional activity selected by ASK. Membership dues are not an individual advertising budget and are not earmarked for a particular provider.
ASK retains discretion over whether, when, where, how, and in what amount network-level promotional resources are deployed. ASK may change channels, media mix, audience, geography, timing, creative, frequency, or budget allocation based on market conditions, availability, cost, expected value, campaign performance, seasonality, legal considerations, or other business factors.
ASK does not guarantee any provider a particular advertising channel, campaign, media placement, geographic exposure, advertising expenditure, number of impressions, clicks, inquiries, leads, clients, engagements, revenue, return on investment, or promotional frequency. Changes to ASK’s marketing mix, discontinuation of a particular channel, or the absence of provider-specific promotion through a particular medium do not by themselves constitute a breach of membership or create a refund, credit, or damages claim.
36. Payment, Delinquency, and Renewal Review
Invoices are due on the stated due date. Each installment has a ten-day grace period. After the grace period, ASK may suspend the listing until payment is made, and an undisputed overdue amount accrues simple interest at eight percent per year, the Kentucky legal rate under KRS 360.010. If an installment remains unpaid thirty days after its due date and ASK has sent written notice, ASK may terminate for cause. A provider in default also owes ASK’s reasonable collection costs, including reasonable attorneys’ fees, to the extent permitted by KRS 411.195 and other applicable law. ASK may charge installments automatically only where the provider has separately authorized automatic payment, and will email a reminder at least fourteen days before each charge. Payment obligations that have accrued before termination survive termination.
A provider has no vested right to another Membership Term merely because it completed the current term or avoided formal discipline. Before the end of a Membership Term, ASK conducts a discretionary renewal review. ASK may consider the provider’s complete membership history, including compliance, cooperation, responsiveness, professional conduct, reputation, client-related information, network integrity, accuracy of information, strategic fit, category composition, network needs, and overall constructive participation. Completion of the mandatory weekly participation in Section 43 is part of that record. Referrals are never required or considered.
Membership never renews automatically. If ASK decides to offer renewal, it will send a written renewal offer at least sixty days before the current term ends, identifying the new two-year Standard Term, the annual rate then in effect, the total dues committed, the billing schedule, and the acceptance deadline. The provider renews only by affirmatively accepting the offer by that deadline. The provider is responsible for maintaining an accurate notice email address.
If ASK does not offer renewal, or the provider does not accept it, membership ends at the close of the current Membership Term without a right to continued membership or damages for loss of the future Position, and the permanent-ineligibility rule in Section 38 applies.
37. Voluntary Early Departure by Provider
A provider may stop participating before the end of its current Membership Term by written notice.
Voluntary departure does not create a refund, credit, rebate, or proration of dues already paid, and it does not cancel the remaining annual installment owed for the current Membership Term, except to the extent applicable law requires otherwise. No dues are charged for a renewal Membership Term that has not begun.
Departure ends the provider’s listing and network privileges at the time determined by ASK, and the permanent-ineligibility rule in Section 38 applies. Provisions that by their nature survive termination remain enforceable.
38. ASK Termination for Cause
ASK may suspend or terminate a provider for cause at any time. Cause includes, without limitation: material breach of these Terms; nonpayment; material misrepresentation or omission; false attestation; failure to cooperate with a lawful review; loss, restriction, suspension, or material problem with a represented license, registration, insurance policy, or business standing; fraud or dishonesty; material client misconduct; unlawful conduct; misuse of ASK marks; misuse or disclosure of confidential evaluation materials; repeated or serious client complaints; a sustained pattern of material adverse information; conduct creating unacceptable security or privacy risk; or conduct described in Section 42.
Where a violation is reasonably curable, ASK may give written notice and a reasonable period to cure it. Serious misconduct, fraud, loss of required licensing, or conduct described in Section 42 may justify immediate suspension or termination without a cure period.
Except where immediate action is reasonably warranted, ASK will ordinarily give the provider written notice of the conduct under review and a reasonable opportunity, within the period stated in the notice, to provide relevant factual information before a strike is finalized. ASK may reject information it reasonably determines to be unreliable, irrelevant, manipulated, or untimely, and ASK is not required to conduct an evidentiary hearing or disclose privileged, confidential, security-sensitive, proprietary, or third-party protected information.
Unless ASK’s written notice states a shorter legally permissible period because of the nature of the matter, an issued strike remains active for twenty-four months for purposes of progressive discipline. ASK may use up to three strikes for ordinary or curable violations, but three strikes are not an entitlement. Three active strikes ordinarily result in removal. ASK may maintain historical internal records after a strike ceases to be active. ASK may bypass progressive discipline and impose immediate suspension or termination when ASK determines that the seriousness, urgency, legal risk, safety risk, fraud risk, reputational risk, or network-integrity concern warrants faster action.
If ASK terminates for cause, dues already paid are fully earned and are not refunded or credited, and the remaining annual installment for the current Membership Term remains due, except to the extent applicable law requires otherwise. Termination for cause does not create a right to recover the Background Verification and Credentialing Fee.
Permanent ineligibility. Once a provider’s membership ends for any reason, including voluntary departure, declining or not accepting renewal, expiration, ASK’s decision not to offer renewal, termination for cause, termination without provider cause, nonpayment (including an unpaid first installment), or loss of eligibility, the provider is permanently ineligible to submit a new intake, return to the network, or obtain reinstatement. The only exception is a termination that ASK determines was issued in error and formally rescinds in writing, which reinstates the original membership. The provider may not evade that bar through a successor, affiliate, nominee, alter ego, newly formed entity, change of name, common-ownership arrangement, or other structure intended to circumvent ASK’s removal decision. ASK may review ownership and control information reasonably necessary to enforce this rule, subject to applicable law and the Privacy Policy.
39. ASK Termination Without Provider Cause
If ASK terminates a provider because of ASK’s own operational or business decision unrelated to the provider’s conduct or compliance, including ASK’s discontinuation of the provider’s category, state, or the network, ASK will provide at least thirty days’ advance written notice, except where a force-majeure event, legal requirement, safety or security event, or other circumstance outside ASK’s reasonable control makes that notice impracticable or legally inappropriate.
In that case, ASK keeps amounts already paid, and there is no pro-rata refund for the current annual period. Any annual installment that has not yet become due is cancelled, and the provider owes no dues for any future term, except to the extent applicable law requires different treatment.
The Background Verification and Credentialing Fee remains nonrefundable because it compensates completed or initiated verification work. The permanent-ineligibility rule in Section 38 applies.
A merger, sale, acquisition, financing, reorganization, asset transfer, or change in control of ASK or its licensors does not itself constitute a termination, discontinuation, or refund event. Membership agreements may be assigned to a lawful successor as provided in these Terms.
40. Immediate Suspension
ASK may immediately suspend a listing, mark license, access, or other network privileges while ASK investigates a serious issue. Suspension is an interim risk control and does not itself establish fault.
Fees and contractual payment obligations continue during suspension. Suspension does not create a refund, credit, tolling period, term extension, or fee reduction, including where ASK later determines not to impose a strike or termination, except where applicable law requires otherwise.
41. Continuing Standards and Quarterly Compliance Check
A provider must continuously maintain information and conditions relevant to its standing. ASK may require a short quarterly compliance attestation addressing mandatory compliance matters, including entity standing, licenses, professional registrations, insurance represented to ASK, material ownership or control changes, listing accuracy, material litigation or regulatory developments, material security incidents affecting ASK information, and other objective facts relevant to continued membership.
The provider must complete each quarterly attestation within fourteen days after ASK requests it. The attestation may ask the provider to confirm that it continues to serve clients throughout its represented state and remains in compliance with Agreement 3. It will never require referrals.
Knowingly false or materially misleading compliance information is cause for immediate action.
42. Reputation, Neutrality, and Network Integrity
ASK is a business network intended to serve a broad market. ASK does not condition membership on agreement with ASK’s political, religious, social, or ideological views, and ASK does not use protected characteristics as membership criteria.
Each provider is responsible for managing its own business, personnel, representatives, and public-facing conduct in a manner that protects the provider’s standing and does not create an unreasonable material risk to the reputation, commercial trust, client relationships, neutrality, or integrity of ASK or other admitted providers.
This responsibility extends to conduct reasonably attributable to or materially associated with the provider by owners, officers, directors, principals, employees, contractors, agents, representatives, spokespersons, and other persons acting for or publicly identified with the provider.
ASK may consider public statements, social-media conduct, campaigns, misconduct, controversies, business practices, or other conduct where ASK reasonably determines, based on the surrounding facts, that the conduct is materially attributable to the provider or creates a material connection between the provider and the conduct and has created or is reasonably likely to create material reputational, commercial, legal, client-relations, or network-integrity risk. Relevant factors may include the person’s role, whether the person spoke for or used the resources or branding of the provider, the prominence of the association, the extent of public attribution to the provider, actual or reasonably foreseeable client or network impact, and whether the provider took lawful and proportionate steps to manage a business risk within its control.
ASK does not purport to regulate an individual’s private lawful beliefs, voting, protected characteristics, or lawful off-duty activity merely because ASK disagrees with a viewpoint. ASK does not require a provider to take an employment action that would violate applicable law. The contractual issue is ASK’s management of its own private-network relationship based on provider-level business impact and ASK’s legitimate interest in protecting a neutral professional network. Providers remain responsible for complying with employment, labor, political-activity, off-duty-conduct, anti-discrimination, whistleblower, concerted-activity, and other laws applicable to their personnel.
ASK retains lawful business discretion over membership standing, suspension, and renewal, subject to nonwaivable law.
43. Mandatory Network Participation; Referrals Are Never Required
Weekly redistribution (mandatory). ASK supplies designated “Provider Distribution Content,” ordinarily once a week. Each admitted provider must redistribute each item through at least one active business social-media account within seven days after ASK makes it available, unless ASK’s notice allows longer. Redistribution may identify ASK as the source, and ASK never requires a provider to claim authorship or to state something it does not believe. ASK does not control a provider’s independent advertising, marketing strategy, non-ASK content, pricing, or general social-media operations. Ordinary misses are handled through progressive discipline; repeated refusal or systematic nonparticipation is cause.
State network participation (mandatory). Each provider takes part in ASK’s introduction to the other admitted providers in its state, maintains reasonable familiarity with them and the categories they serve, participates in occasional ASK-facilitated state-network communications, and treats other providers professionally.
Referrals are never required. No provider is required to refer a client to another ASK provider, make a minimum number of referrals, reciprocate a referral, share customers, coordinate prices, divide markets, or enter joint work, and ASK does not condition price, placement, admission, standing, or renewal on referral activity. A provider that voluntarily makes an introduction exercises its own judgment and remains solely responsible for conflicts, disclosures, client consent, licensing, ethics, and other legal requirements applicable to that introduction. The client remains free to select any provider inside or outside ASK. If a provider publishes an endorsement of ASK, the provider is responsible for any material-connection disclosure the law requires.
44. Optional Member Mark
An admitted provider in active good standing may, but is not required to, display an ASK membership mark approved by ASK.
The mark indicates only current admitted membership status. It may not be used to imply that ASK certifies, licenses, endorses, recommends, guarantees, ranks, supervises, or warrants the provider or its services.
The license is limited, nonexclusive, nontransferable, nonsublicensable, revocable, and subject to ASK’s written usage standards. ASK may require correction or removal of any use it considers misleading, modified, obsolete, inconsistent with brand standards, or legally risky.
The license is suspended when membership privileges are suspended and terminates immediately when membership ends. The former provider must remove the mark and membership claims from websites, social media, proposals, email signatures, printed materials, advertising, and other public uses within ten days, or sooner if ASK reasonably requires to prevent deception.
45. No Intended Franchise, Agency, or Business-Format Control
The provider operates an independently established business under its own brand, methods, management, personnel, pricing, systems, and professional judgment.
ASK does not grant a franchise territory or business format and does not prescribe the provider’s overall method of operation. ASK does not control provider pricing, business hours, payroll, staffing, accounting, purchasing, uniforms, client contracts, service methodology, internal sales process, advertising budget, or other core operating methods.
Any ASK requirements concern membership status, truthful representation of that status, network integrity, legal compliance, use of ASK intellectual property, and conditions reasonably necessary to administer the network. The six-Position category limitation is an ASK directory capacity rule, not a territorial license, exclusive market, or promise of customers.
Nothing in the relationship creates a partnership, joint venture, fiduciary relationship, agency, employment relationship, or authority for either party to bind the other.
46. Independent Competition and Antitrust Compliance
Each admitted provider remains an independent competitor and must make its own independent decisions concerning prices, fees, discounts, bids, wages, compensation, staffing, customers, territories, output, capacity, service terms, purchasing, marketing, hiring, and every other competitively significant matter.
Neither ASK membership nor any ASK meeting, communication channel, event, directory, referral, introduction, committee, survey, report, or other network activity may be used to reach, invite, facilitate, signal, monitor, or enforce an agreement among providers concerning prices or pricing policies; discounts or credit terms; bids; costs or margins; wages or employee compensation; customer or account allocation; geographic market allocation; output, production, or capacity; boycotts or refusals to deal; hiring or no-poach arrangements; or any other restriction on independent competition.
Providers must not use ASK to exchange nonpublic competitively sensitive information with actual or potential competitors except where a lawful, documented business purpose and appropriate safeguards make the exchange permissible. ASK may restrict, remove, or decline to distribute information that it believes creates competition-law risk.
The six-Position capacity limit is ASK’s unilateral rule governing how many companies ASK chooses to admit and display in a category and state. It is not an agreement among providers to divide markets, customers, territories, work, or opportunities, and it does not restrict any admitted or non-admitted company from competing, advertising, accepting clients, serving customers, entering geographic markets, or conducting business outside the ASK network.
A material violation of this Section is grounds for immediate suspension or termination for cause. ASK may adopt additional antitrust-compliance procedures for meetings, communications, surveys, reports, and other network activities.
47. Professional and Legal Compliance
A provider is solely responsible for determining and maintaining every license, registration, permit, professional credential, insurance policy, disclosure, consent, conflict check, ethical rule, fee restriction, advertising rule, privacy obligation, cybersecurity obligation, tax obligation, and professional standard applicable to the services it offers and the jurisdictions in which it operates.
ASK’s admission process does not relieve a provider of those duties. ASK may request evidence of compliance but does not assume the provider’s regulatory responsibility.
A provider may not use an ASK listing to offer a service for which the provider lacks legally required authority or to hold itself out as qualified in a category it was not admitted to represent through ASK.
48. Insurance
The provider must maintain insurance that is commercially reasonable for its services and any coverage it represented to ASK as a condition of admission. ASK may establish category-specific minimum insurance requirements prospectively where legally and commercially appropriate.
The provider must promptly notify ASK of cancellation, material reduction, lapse, denial of renewal, or material claim affecting coverage represented to ASK.
The provider must furnish a current certificate of insurance at onboarding, at each renewal of coverage, and on request, and, where Agreement 3 requires ASK to be named as an additional insured and the endorsement is available, evidence of that endorsement. A lapse in required insurance results in immediate suspension of the listing until coverage is restored, and an unrestored lapse is cause.
49. Material Event Notice
The provider must promptly notify ASK of a material event reasonably relevant to standing, including a material ownership or control change; merger or sale of the provider; loss or restriction of a required license or registration; material regulatory investigation or discipline; material lawsuit alleging fraud, professional misconduct, or systemic client harm; insolvency filing; material security incident involving ASK information or credentials; material insurance lapse; or another event that makes prior information materially inaccurate.
Notice does not itself establish cause. Failure to disclose a material event may independently constitute cause.
50. Listing Content
The provider is responsible for the truthfulness, substantiation, legality, intellectual property rights, and continued accuracy of listing content it supplies.
The provider grants ASK a nonexclusive, worldwide, royalty-free license to host, reproduce, format, adapt for display, distribute, and promote provider-supplied listing content for purposes of operating and marketing the network during membership and for a reasonable archival period afterward.
ASK may edit formatting, length, grammar, or presentation; may request substantiation; and may refuse or remove content that ASK reasonably considers inaccurate, misleading, unlawful, unsubstantiated, infringing, or inconsistent with these Terms.
A provider may not supply fake, fabricated, AI-generated-as-if-authentic, purchased, sentiment-conditioned, undisclosed insider, or otherwise deceptive reviews or testimonials for publication through ASK. If a provider supplies a testimonial, endorsement, rating, case study, or similar claim, the provider represents that it is authentic, substantiated, lawfully obtained, and accompanied by any material-connection disclosure required by law.
51. Confidential Information and Statements About Membership
SCA content, results, scoring methods, model logic, evaluation criteria, nonpublic review findings, security information, internal operations, nonpublic member information, and other information designated or reasonably understood as confidential must not be disclosed or misused. This restriction does not prevent truthful communication required by law, protected reporting to a government agency, consultation with counsel under appropriate confidentiality, or honest opinion that does not disclose protected confidential information or make knowingly false factual statements.
ASK ordinarily states membership status only. ASK does not undertake to publish internal reasons for nonrenewal, suspension, strikes, or removal, and may decline to discuss those reasons with third parties except where ASK determines disclosure is legally required or reasonably necessary to protect rights, security, or safety.
A provider may accurately state that it is a current admitted member while that statement remains true. It may not state or imply that ASK certifies, endorses, recommends, guarantees, supervises, insures, or assumes responsibility for the provider or its results.
52. Provider Indemnification
To the maximum extent permitted by law, the provider will indemnify, defend, and hold harmless ASK, its licensors, and their respective members, managers, officers, employees, agents, and contractors from third-party claims, threatened claims, demands, actions, proceedings, losses, liabilities, judgments, penalties, fines, damages, reasonable attorneys’ fees, and reasonable defense costs arising from or relating to: the provider’s services or client engagements; acts or omissions of the provider or its personnel; professional misconduct; licensing or regulatory noncompliance; listing content; infringement; taxes or employment obligations; provider-caused privacy or security incidents; the provider’s collection, storage, use, disclosure, security, retention, or deletion of information received directly from a client or prospective client; provider use or misuse of ASK marks; unlawful or misleading advertising; voluntary referrals or introductions; or the provider’s breach of these Terms.
ASK will provide reasonable notice of a covered claim where practicable. Upon notice, the provider shall promptly assume and diligently conduct the defense using qualified counsel reasonably acceptable to ASK. ASK may participate through counsel of its choosing at its own expense unless the provider’s failure to defend, a material conflict of interest, or another legally sufficient reason makes reimbursement appropriate under the indemnity.
If the provider fails to timely assume or adequately conduct the defense, or if ASK reasonably determines that a material conflict of interest exists, ASK may assume control of its defense and the provider shall reimburse reasonable covered defense costs to the extent permitted by law. The provider may not settle a claim in a manner that admits wrongdoing by, imposes an obligation on, restricts, requires payment by, or otherwise materially affects ASK or its licensors without prior written consent.
This Section does not require indemnification for liability that applicable law does not permit ASK to shift.
Part V. Terms for All Parties
53. Limitation of Liability for Applicants and Providers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASK AND ITS LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, OR REPUTATIONAL HARM; OR DAMAGES ARISING FROM A PROVIDER-CLIENT ENGAGEMENT.
The exclusions and caps in this Section apply regardless of the form or theory of the claim, including contract, warranty, statute, tort, ordinary negligence, strict liability, restitution, or other legal or equitable theory, to the maximum extent applicable law permits the particular liability to be limited. They do not exclude or limit liability for gross negligence, willful misconduct, fraud by ASK, or another category of liability to the extent governing law makes such liability nonwaivable or prohibits the particular limitation.
For an applicant, aggregate liability arising from the intake, SCA, conditional-offer, verification, and admission process will not exceed the amount the applicant actually paid to ASK in connection with that intake during the twelve months before the event giving rise to the claim.
For an admitted provider, aggregate liability arising from membership will not exceed the membership dues actually paid to ASK during the twelve months before the event giving rise to the claim.
These limitations are intended to allocate commercial risk between the parties, apply only to the maximum extent enforceable, and are a material basis of the economic terms of intake and membership.
54. Notices
Legal notices to ASK must be sent by email to support@asktheconsultants.com, unless ASK designates a different notice address in writing. To protect against spam and unsolicited mail, ASK does not publish a mailing address; ASK will provide one on request to a party that needs it for formal notice.
ASK may send notices to the email address or postal address supplied by the applicant or provider. Electronic notices are effective when sent unless ASK receives a system-generated notice that delivery failed, subject to any different timing, delivery, or receipt rule required by applicable law. Applicants and providers are responsible for maintaining current contact information and for reasonably monitoring the business email address designated for membership notices.
55. Dispute Resolution for Applicants and Providers
This Section applies where an applicant or provider affirmatively accepted Part III or Part IV through ASK’s electronic acceptance process. It covers only disputes between ASK and that applicant or provider. It does not cover disputes between a provider and its clients or prospective clients. ASK is not a party to those disputes and does not hear, mediate, arbitrate, or settle them; they belong to the provider and the client under their own agreement and applicable law.
Informal resolution first. Before starting a formal proceeding, the party raising a dispute will send the other party written notice describing the dispute and the relief sought, and the parties will negotiate in good faith for thirty days, unless urgent injunctive relief is reasonably necessary.
Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms, an intake, the SCA, verification, admission, or membership, including its formation, validity, interpretation, performance, breach, enforcement, or termination, will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules before one arbitrator. The parties intend this to be a written agreement to arbitrate enforceable under the Federal Arbitration Act and the Kentucky Uniform Arbitration Act, KRS Chapter 417.
Seat of arbitration. The seat of arbitration is Washington County, Kentucky. Hearings may be held by video conference where the arbitrator permits. Judgment on the award may be entered in a court designated in Section 56.
Exceptions. Either party may bring an individual claim in a small claims court within that court’s jurisdiction, and either party may ask a court designated in Section 56 for temporary or permanent equitable relief concerning intellectual property, confidential information, security, fraud, or unauthorized use of ASK marks.
Individual claims only. Arbitration will be conducted on an individual basis. Neither party may pursue class, collective, consolidated, mass, or representative arbitration or litigation, and the arbitrator has no authority to combine claims of persons who have not expressly agreed to the same proceeding.
Severability. If a court determines that a particular claim, remedy, or waiver cannot lawfully be arbitrated or waived, that portion will proceed in a court designated in Section 56, and the remainder of this arbitration agreement will be enforced to the maximum extent permitted.
56. Governing Law; Exclusive Forum, Jurisdiction and Venue
In this Section, “Agreement” means these Terms together with any agreement accepted through ASK’s electronic acceptance process. Section 55 decides which disputes are arbitrated. This Section governs the law applied to every dispute and every judicial action or proceeding, including an action to compel arbitration, to confirm, vacate, or enforce an arbitration award, to seek emergency injunctive relief, or to resolve a claim that Section 55 does not cover or that a court determines cannot be arbitrated.
A. Governing Law. This Agreement, and any dispute, claim, controversy, action or proceeding arising out of or relating to this Agreement, including its formation, validity, interpretation, performance, breach, enforcement or termination, shall be governed by and construed in accordance with the substantive laws of the Commonwealth of Kentucky, United States of America, without giving effect to conflict-of-laws principles that would require the application of another jurisdiction’s law, except where controlling law prohibits such selection.
B. Exclusive State Court Venue. Subject to subsection C and any controlling statutory jurisdictional requirements, each party irrevocably agrees that any judicial action or proceeding arising out of or relating to this Agreement shall be commenced and maintained exclusively in a state court of competent subject-matter jurisdiction located in Washington County, Kentucky. The parties expressly designate Washington County, Kentucky, as their exclusive contractual state-court forum, rather than merely as a permissible or preferred venue.
C. Federal Court Jurisdiction and Venue. If an action or proceeding arising out of or relating to this Agreement is properly brought in federal court and an independent basis for federal subject-matter jurisdiction exists, the parties designate the United States District Court for the Western District of Kentucky, Louisville Division, as the exclusive federal forum, to the extent permitted by federal law and applicable court rules. Nothing in this Agreement creates federal subject-matter jurisdiction where none otherwise exists.
D. Consent to Personal Jurisdiction. Each party knowingly, voluntarily and irrevocably submits to the personal jurisdiction of the courts designated in subsections B and C for proceedings covered by this Section. Each party agrees not to contest personal jurisdiction in those courts on the basis of its residence, principal place of business, location of operations, or absence of physical presence in Kentucky, to the fullest extent permitted by law.
E. Waiver of Venue and Forum Objections. To the fullest extent permitted by applicable law, each party waives any objection to the designated courts based on improper venue, inconvenient forum or the contention that another jurisdiction would provide a more convenient location for adjudication. Each party acknowledges that the designation of Kentucky as the governing jurisdiction and Washington County as the exclusive state-court venue is a material condition of this Agreement.
F. Voluntary Commercial Acceptance. Each party acknowledges that this Agreement is entered into voluntarily for a commercial purpose, that it has been afforded a reasonable opportunity to review its terms before acceptance, and that it may consult legal counsel or decline to enter into the Agreement. The party accepting on behalf of a business entity represents that it possesses sufficient authority to bind that entity to this Agreement, including this governing-law and forum-selection provision.
G. Proceedings Filed Outside the Designated Forum. If a party initiates a judicial proceeding covered by this Section in a court other than a designated court, the other party may seek dismissal, transfer, enforcement of this forum-selection provision, or any other appropriate procedural relief, subject to applicable law. Nothing in this Section shall be interpreted as making an otherwise proper statutory venue automatically improper solely because of this contractual provision.
H. Mandatory Legal Limitations. Nothing in this Section shall be construed to confer subject-matter jurisdiction upon a court that lacks it, prohibit a governmental authority from exercising lawful regulatory or enforcement powers, waive a legal protection that cannot be waived by agreement, or prevent application of a controlling federal statute or other mandatory law where contractual modification is prohibited.
I. Severability of Forum Provisions. If any particular part of this Section is determined to be invalid or unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law. The parties intend that the selection of Kentucky law, exclusive Kentucky state-court venue, consent to personal jurisdiction, and designation of the federal forum shall be treated as separate but complementary obligations, and enforced to the maximum lawful extent.
57. Changes to Terms
ASK may revise public website terms prospectively. Material changes affecting a current admitted provider’s economic or substantive obligations do not alter the then-current Membership Term unless the provider affirmatively agrees or applicable law permits and the existing agreement expressly authorizes the change. For a renewal Membership Term, ASK will provide the material terms with the written renewal offer, before the provider decides whether to accept it.
58. Assignment and Change of Control
A provider may not assign membership, transfer a Position, transfer an ASK mark license, or transfer a founding rate without ASK’s prior written consent. A change in control or sale of the provider is subject to ASK’s review because ASK evaluates the company and people responsible for it.
ASK may assign these Terms and membership agreements to an affiliate or a successor in connection with a merger, acquisition, financing, reorganization, sale of equity, sale of assets, or other change in control. Such a transaction does not by itself terminate membership or create a refund right.
59. Force Majeure
ASK is not liable for delay, interruption, reduced availability, suspension, or failure of performance to the extent caused by events beyond ASK’s reasonable control, including natural disasters, acts of God, utility or internet failures, major cloud or infrastructure outages, cyberattacks, governmental action, sudden legal or regulatory restrictions, labor disruptions, war, terrorism, civil disorder, epidemics, vendor outages, or other events not reasonably preventable by ASK.
A force-majeure event excuses advance-notice obligations, service expectations, and other performance obligations only for the duration and to the extent the event makes performance impracticable, unlawful, unsafe, or outside ASK’s reasonable control.
Temporary interruption, suspension, delay, or reduced availability caused by a force-majeure event does not itself create a refund, credit, damages claim, or termination right unless applicable law requires otherwise. If a force-majeure event results in permanent discontinuation of a provider’s category, state, membership, or the network, treatment of dues will be determined under Section 39 and applicable nonwaivable law. Force majeure does not excuse payment obligations already accrued.
60. Severability and Reformation
If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and, where permitted, reformed to approximate the parties’ lawful intent. The remaining provisions remain effective.
61. Entire Agreement; Non-Reliance; No Waiver; Survival
For an applicant or admitted provider, these Terms, the Acceptable Use Policy, Privacy Policy, Cookie Policy, Security & Legal Disclaimer, any accepted intake or assessment terms, any accepted verification or membership agreement, and any signed addendum constitute the agreement concerning ASK membership and Site use, subject to any document expressly stated to control in a conflict. The Privacy Policy governs ASK’s handling of personal information and does not become a waiver of nonwaivable privacy rights merely because it is referenced here.
In deciding whether to submit an intake, accept, renew, or purchase membership, an applicant or provider acknowledges that it is not relying on an oral sales statement, informal communication, traffic estimate, projection, illustrative example, anticipated client volume, expected advertising exposure, planned future feature, projected network growth, or other statement concerning future commercial results unless the statement is expressly incorporated into a written agreement or offer issued through an authorized ASK process. Nothing in this paragraph excludes liability for fraud or another matter that applicable law does not permit ASK to disclaim.
Failure to enforce a provision once is not a waiver of future enforcement. A waiver is effective only to the extent stated in an authorized written waiver and does not waive a different or later breach.
Provisions concerning payment, accrued and committed dues, intellectual property, confidentiality, mark removal, indemnity, limitation of liability, dispute resolution, governing law and forum, record retention, non-reliance, and other provisions that by their nature should survive will survive termination.
